Most business owners understand the importance of protecting their buildings, equipment and inventory. They may also carry commercial general liability insurance to protect the business if someone is injured or their property is damaged.
However, there is another risk that is sometimes overlooked: the cost of dealing with a legal dispute.
Even when a business has done nothing wrong, obtaining legal advice or defending its position can be expensive. A disagreement with an employee, customer, supplier, landlord or government agency can quickly result in thousands of dollars in legal fees. Legal expense insurance is designed to help businesses manage that financial risk.
What Is Legal Expense Insurance?
Legal expense insurance helps pay certain legal and professional costs associated with covered disputes. Depending on the policy, coverage may include lawyer fees, court costs, expert fees and other expenses required to pursue or defend a legal matter.
Many policies also provide access to a legal advice helpline. This can give business owners an opportunity to speak with a qualified legal professional before a concern develops into a larger and more expensive problem.
Depending on the coverage purchased, legal expense insurance may assist with matters such as:
- Employment disputes, including certain wrongful dismissal allegations
- Contract disputes with customers or suppliers
- Debt recovery
- Tax audits or disputes with the Canada Revenue Agency
- Regulatory investigations and certain legal defense matters
- Occupational health and safety proceedings
- Disputes involving business property
- The suspension, cancellation or restriction of certain business licenses
The protection provided varies considerably between insurers and policies. Coverage is always subject to the policy’s limits, deductibles, exclusions and reporting requirements.
Reducing risk starts with understanding your coverage—reach out for an independent review of your business insurance.
Isn’t Legal Defence Already Included in General Liability Insurance?
This is where many business owners become confused. General liability insurance is primarily intended to protect a business against certain third-party claims involving bodily injury, property damage, personal injury or advertising injury.
For example, imagine that a customer slips on a wet floor at your business, suffers an injury and sues for compensation. If the claim is covered by your general liability policy, the insurer may appoint and pay a lawyer to defend the business. The policy may also pay a covered settlement or court award, up to the applicable limits.
That protection is extremely valuable, but it does not mean the business has coverage for every legal problem it could encounter. The legal defense provided by general liability insurance is connected to the specific liability claims made by third parties. It is not a general-purpose fund for legal advice or representation.
How Legal Expense Insurance Is Different
The easiest way to understand the difference is to consider what each policy is designed to do. General liability insurance generally protects the business when a third party alleges covered bodily injury, property damage or another injury and seeks compensation from the business.
Legal expense insurance focuses on the cost of obtaining legal assistance for a broader—but still specifically defined—range of disputes. Depending on the policy, it may help the business defend itself, pursue its legal rights or obtain advice before formal legal proceedings begin.
For example, general liability insurance may help defend your business when a customer sues after being injured on your premises. Legal expense insurance may help when a client refuses to pay for completed work or the business needs assistance responding to a covered regulatory matter.
The two coverages are not duplicates. They are designed to address different legal and financial risks.
Why Business Owners Should Consider This Coverage
A legal issue does not have to reach a courtroom to become expensive. Reviewing documents, responding to letters, negotiating a resolution and obtaining professional advice can all create significant costs.
For a small or growing business, those expenses can affect cash flow and may discourage an owner from enforcing the company’s rights. A business may decide that it cannot afford to pursue an unpaid account or challenge a breached contract—even when it has a strong position.
Legal expense insurance can help reduce that financial barrier. It may give a business access to advice and representation that it might otherwise hesitate to obtain.
Early legal guidance can also be valuable. A conversation with a legal professional at the beginning of a dispute may help an owner understand their obligations, preserve important records and avoid actions that could weaken the company’s position. Business owners may find this coverage particularly worth considering if they:
- Employ staff
- Regularly enter into contracts
- Extend credit or invoice customers after completing work
- Lease commercial premises
- Operate in a regulated industry
- Depend on a license to conduct business
- Would find an unexpected legal bill difficult to absorb
Questions to Ask Before Purchasing Coverage
Legal expense policies are not all the same. Before purchasing coverage, ask your insurance professional:
- Which types of disputes are covered?
- Does the policy cover both pursuing and defending legal action?
- Is employment-related legal protection included?
- Are contract disputes and debt recovery covered?
- Is there a legal advice helpline?
- What limits, deductibles or waiting periods apply?
- Must a claim have a reasonable prospect of success?
- Can the business select its own lawyer, or must it use an approved provider?
- Are disputes that began—or were known about—before the policy started excluded?
These details matter. Hiring a lawyer before notifying the insurer, for example, could affect whether those costs are reimbursed.
A Valuable Addition to a Business Insurance Plan
Commercial general liability insurance remains an essential part of protecting a business, but it does not cover every situation that may require legal help.
Legal expense insurance can help fill part of that gap by providing financial assistance and access to professional guidance for certain everyday legal risks faced by business owners.
The goal is not to insure every disagreement. It is to make sure that when a covered legal issue arises, the cost of obtaining help does not prevent the business from protecting itself.
Speak with your insurance professional about the legal risks associated with your employees, contracts, customers, premises and industry. A thoughtful review can help determine whether legal expense insurance deserves a place in your overall business insurance program.
